This 23rd day of April 2015, after careful consideration of the parties' briefs and oral argument on appeal, we find it evident that the judgments of the Court of Chancery should be affirmed on the basis of and for the reasons assigned by the Court of Chancery in its well-reasoned opinions dated May 28 and July 21, 2014.
NOW, THEREFORE, IT IS ORDERED that the judgments of the Court of Chancery are hereby AFFIRMED.
